These Enterprise Terms & Conditions (“Terms”) govern access to and use of the Rodocodo platform (the “Service”). By creating an account or purchasing a subscription, you agree to these Terms.

These Terms apply to:
- Consumer Users (parents or guardians purchasing for home use);
- School & Business Users (schools, academy trusts, local authorities, training providers, and other organisations).
3. Incorporation of Additional Terms
If you are a School & Business User, the Data Processing Addendum (“DPA”) forms part of these Terms.

- Children may not create accounts directly.
- School & Business Users confirm they have authority to bind their organisation.
5. The Service
Rodocodo is a learn-to-code platform designed for children aged 4–11, focused on computational thinking and problem-solving.
We may modify, update, suspend, or discontinue features of the Service at any time.
5.1 Service Standards
We will provide the Service with reasonable care and skill as required by applicable law.
The Service is provided on an “as available” basis. While we aim to maintain availability and accuracy, we do not guarantee that:
- The Service will be uninterrupted or error-free;

- The Service will be compatible with all devices or systems.
Nothing in these Terms affects mandatory statutory rights of Consumer Users.
6. Accounts
- Each authorised user must have an individual account.

- Users are responsible for maintaining account security.
6.1 School & Business User Administration
School & Business Users must:
- Appoint at least one authorised administrative contact;
- Ensure only authorised personnel access the Service;
- Notify Rodocodo without undue delay if an authorised administrator or user leaves or no longer requires access;
- Provide updated replacement contact details promptly.
Rodocodo shall not be liable to the extent that unauthorised access, data loss, or safeguarding incidents arise from a School & Business User’s failure to manage or notify changes in authorised personnel.
We may suspend access where we reasonably believe credentials are no longer controlled by authorised personnel.
7. Subscriptions
- Subscriptions are billed annually.
- Subscriptions renew automatically every 12 months.
- A renewal reminder will be sent approximately 7 days before renewal.
- Cancellation must be requested before the renewal billing date by emailing: [email protected].
- No refunds are provided once a paid subscription period begins, subject always to statutory rights of Consumer Users.
- Free trials do not automatically convert into paid subscriptions.
7.1 Consumer Cancellation Rights
If you are a Consumer User purchasing online, you have a statutory right to cancel within 14 days under the Consumer Contracts Regulations 2013.
By purchasing a subscription and requesting immediate access to the Service, you expressly request that performance begins immediately and acknowledge that you will lose your right to cancel once the Service has been fully performed within the 14-day cancellation period.
This clause does not limit or exclude any mandatory statutory cancellation rights.
8. Pricing & VAT
Prices are displayed inclusive or exclusive of VAT as indicated. UK VAT is applied where required.
We may amend pricing effective at renewal.

11. Limitation of Liability
Nothing in these Terms excludes or limits liability for death or personal injury caused by negligence, fraud, or any liability that cannot legally be excluded.
For School & Business Users: Liability is capped at 100% of fees paid in the previous 12 months.
For Consumer Users: Liability is limited to foreseeable loss and capped at subscription fees paid.

12. Indemnity (School & Business Users)
School & Business Users shall indemnify Rodocodo against losses arising from:

13. Force Majeure
We are not liable for delay or failure to perform obligations due to events beyond our reasonable control, including infrastructure outages, cyber incidents, governmental actions, or third-party service failures.
14. Assignment
Rodocodo may assign or transfer this Agreement in connection with a merger, acquisition, corporate restructuring, or sale of assets, provided that such transfer does not materially reduce protections afforded to users.
15. Links to Third-Party Websites
The Service may contain links to third-party websites or services that are not owned or controlled by Rodocodo.
We have no control over, and assume no responsibility for, the content, privacy policies, or practices of any third-party websites or services. You acknowledge and agree that Rodocodo shall not be liable for any loss or damage arising from your use of any third-party websites.
16. Notices
Where these Terms require you to contact us, you may do so by emailing [email protected] (or such other contact address as we notify you from time to time).
We may provide notices to you by email to the address associated with your account or by notification within the Service. Notices shall be deemed received at the time of transmission unless delivery failure is notified to the sender.

These Terms are governed by the laws of England and Wales. The courts of England and Wales have exclusive jurisdiction.
18. Entire Agreement
These Terms, together with the Privacy Policy and (where applicable) the Data Processing Addendum, constitute the entire agreement between you and Rodocodo in relation to the Service and supersede all prior agreements, understandings, or representations.
19. Severability
If any provision of these Terms is found to be invalid, unlawful, or unenforceable, that provision shall be severed and the remaining provisions shall continue in full force and effect.
20. Waiver
No failure or delay by Rodocodo in exercising any right or remedy shall constitute a waiver of that right or remedy, nor shall any single or partial exercise preclude further exercise of that or any other right or remedy.
21. Third Party Rights
A person who is not a party to these Terms shall not have any rights under the Contracts (Rights of Third Parties) Act 1999 to enforce any provision of these Terms.
22. Amendments
We may update these Terms from time to time. Material changes will be notified in advance via email or platform notice. Continued use of the Service after the effective date constitutes acceptance of the updated Terms.
Archived versions are retained for compliance purposes.
